Discharge of the Responsibilities of Foundation and Capital Increase

Abstract

This thesis analyzes the article of discharge of the responsibilities of foundation and capital increase, which has been regulated under Article 559 of the Turkish Commercial Code No. 6102. In this Article, for-year discharge prohibition and obstruction of discharge as a minority right have been specified. Issues, specifically the aim, legal characteristics, exercise, and effects of this minority right need to be examined. In this study, the ratio legis of the article of the Turkish Commercial Code No. 6102, personal and material scope of discharge, order of discharge, and restrictions on the order of discharge have been respectively scrutinized.
